End User Licence Agreement

    1. Agreement to Terms

    This End User Licence Agreement ("EULA") is a legal agreement between you and OutOfHours.AI governing your use of our platform, AI agents, and related services. By accessing or using our services, you agree to be bound by this EULA.

    2. Licence Grant

    Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our services for your internal business purposes.

    3. Restrictions

    You shall not: (a) sublicence, sell, or redistribute the services; (b) reverse engineer or attempt to extract source code; (c) use the services for any unlawful purpose; (d) interfere with or disrupt the integrity or performance of the services; or (e) attempt to gain unauthorised access to any part of the services.

    4. Intellectual Property

    All intellectual property rights in the services, including AI models, software, and documentation, remain the exclusive property of OutOfHours.AI. Your data remains your property; we claim no ownership over content you provide.

    5. Data Processing

    Our use of your data is governed by our Privacy Policy. By using the services, you consent to the processing of data as described therein. We implement appropriate technical and organisational measures to protect your data.

    6. Service Availability

    We aim to provide continuous service availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability, and will endeavour to provide reasonable notice where possible.

    7. Limitation of Liability

    To the maximum extent permitted by law, OutOfHours.AI shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

    8. Termination

    Either party may terminate this EULA with 30 days' written notice. We may terminate immediately if you breach any term of this agreement. Upon termination, your access to the services will cease and we will handle your data in accordance with our data retention policy.

    9. Governing Law

    This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
